You agree to pay all fees associated with the Services as outlined in your order form or subscription plan. All payments are due in accordance with the terms specified.

4.2 Changes to Fees
We reserve the right to update subscription fees with at least 30 days’ notice.

4.3 Refunds
All payments are non-refundable unless explicitly stated otherwise.

5. Intellectual Property

All intellectual property rights in the Services, including software, content, and technology, remain the property of Ada AI, Inc. or its licensors. You are granted no ownership or license except as explicitly provided herein.

6. Privacy

Your use of the Services is subject to our Privacy Policy, which outlines how we handle your data.

7. Limitation of Liability

To the fullest extent permitted by law:

• We are not liable for any indirect, incidental, or consequential damages resulting from your use of the Services.

• Our total liability for any claims under this Agreement shall not exceed the amount paid by you in the 12 months prior to the claim.

8. Termination

8.1 Termination by You
You may cancel your subscription at any time. Upon termination, your access to the Services will cease.

8.2 Termination by Us
We may suspend or terminate your access to the Services if you violate these Terms or if required by law.

8.3 Effect of Termination
Upon termination, you will lose access to the Services and any data stored on the platform. You are encouraged to download your data prior to termination.

9. Warranties and Disclaimers

The Services are provided “as is” without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of laws principles.

We may update these Terms from time to time. Changes will be effective upon posting. Continued use of the Services after updates constitutes acceptance of the revised Terms.
